1. Who we are & these terms
FILOTRON (“the App”, “the Service”) is provided by Cogent Logic Limited (“we”, “us”, “our”), a company registered in England & Wales.
By downloading, installing or using the App, or by purchasing a subscription, you agree to these Terms of Service. If you do not agree, please do not use the App.
2. The Service
FILOTRON lets you manage files on your devices and, with a Pro plan, connect your own devices to one another for remote, peer-to-peer file management. Transfers between your devices are direct and end-to-end encrypted; we do not store your files and are not a cloud-storage provider.
3. Eligibility & accounts
- You must be at least 16 years old, and able to form a binding contract, to purchase a subscription or set up device certificates.
- Signing in (with Apple, Google, Microsoft or email) is required only to purchase a subscription and to provision a security certificate on a device. You are responsible for keeping your sign-in credentials secure.
- You are responsible for the devices you add to your fleet and for activity carried out through your account.
4. Subscriptions, pricing & renewal
- Plans & prices. Current plans and prices are shown on our Pricing page. Prices are in US dollars; applicable taxes may be added at checkout.
- Where you buy. Purchases are made through the Apple App Store (iOS & macOS), Google Play (Android), or our payment provider Paddle (Windows & Linux). The store or provider you buy through processes your payment; we do not receive your card details.
- Auto-renewal. Monthly and annual subscriptions renew automatically at the then-current price until cancelled. You can cancel at any time through the store or provider you purchased from; cancellation takes effect at the end of the current billing period.
- Price changes. We may change prices for future billing periods; where required, you will be notified in advance and may cancel before the change takes effect.
5. Lifetime purchase
The lifetime plan is a one-time purchase that grants Pro features for the lifetime of the FILOTRON product, with no recurring charge. “Lifetime” refers to the continued availability of the Service and does not constitute a perpetual guarantee beyond our reasonable provision of the App. Device limits applicable to the lifetime plan are shown on the Pricing page.
6. Cancellation & refunds
How cancellations and refunds are handled depends on where you purchased. Full details are in our Refund Policy. Nothing in these terms affects your statutory rights as a consumer.
7. Acceptable use
You agree not to use the App to:
- break any law, or infringe anyone’s rights, including intellectual-property or privacy rights;
- store, transfer or distribute unlawful, infringing or harmful material;
- attempt to circumvent device limits, security, certificate or licensing controls;
- reverse-engineer, tamper with, or disrupt the App or its infrastructure, except to the extent the law permits.
8. Your files & content
Your files remain yours. Because transfers are direct and end-to-end encrypted between your devices, we do not access, host or back up your files, and we cannot recover them. You are solely responsible for your files and for keeping your own backups. You are responsible for ensuring you have the right to store and transfer the content you handle with the App.
9. Intellectual property
The App, its software, design, branding and the “FILOTRON” name are owned by Cogent Logic Limited and protected by intellectual-property laws (including patents pending). We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App in accordance with these terms. We reserve all rights not expressly granted.
10. Privacy
Our Privacy Policy explains what limited account data we process and why, and how your day-to-day, peer-to-peer use of the App is anonymous. By using the App you acknowledge that policy.
11. Availability & “as is”
We aim to keep the Service available and working well, but we provide it “as is” and “as available”. To the fullest extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement. Some functions depend on third parties (such as app stores, sign-in providers, payment providers and network connectivity) that are outside our control.
12. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law (including liability for death or personal injury caused by negligence, or for fraud). Subject to that, and to the fullest extent permitted by law, we are not liable for loss of data, loss of profits, or any indirect or consequential loss; and our total liability arising out of or in connection with the Service is limited to the amount you paid us (if any) in the 12 months before the event giving rise to the claim. Because we never hold your files, we are not responsible for their loss — please keep your own backups.
13. Changes to the App or these terms
We may update the App and these terms from time to time, for example to reflect new features or legal requirements. We will post the updated terms here with a new “last updated” date. Material changes affecting your rights will be brought to your attention where reasonably practicable. Continuing to use the App after changes take effect means you accept the updated terms.
14. Suspension & termination
You may stop using the App at any time and cancel any subscription as described above. We may suspend or end your access if you materially breach these terms (for example, by misusing the Service or breaching the acceptable-use rules), acting proportionately and, where appropriate, giving you notice.
15. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have jurisdiction, except that if you are a consumer resident elsewhere you may benefit from any mandatory protections of your country of residence, and may bring proceedings there where the law allows.
